AGM 2025 – Supporting documents
These documents provide important background and detail on the proposed Ngāpuhi group restructure and Trust Deed changes being voted on at the upcoming AGM. The FAQ answers common pātai about why the changes are needed and what they mean for Ngāpuhi. The Explanatory Note outlines the purpose of the restructure, how it will create a new commercial arm to give Ngāpuhi greater flexibility, and the benefits this will bring to hapū and whānau.
TRAION Trust Deed changes
Two versions of the updated Te Rūnanga-Ā-Iwi-Ō Ngāpuhi (TRAION) Trust Deed are available for you to review.
- The mark-up version shows all proposed amendments compared with the current (2019) Trust Deed.
- The clean version shows how the Trust Deed will look if the proposed changes are approved by Ngāpuhi members at the AGM.
TRAION Commercial Trust
A new TRAION Commercial Trust Deed has been drafted, based on the TRAION Trust Deed. The key differences reflect that:
- The TRAION Commercial Trust is not a charity.
- It will act as the Mandated Iwi Organisation.
- It includes updates required by the Māori Fisheries Amendment Act.
As with the TRAION Trust Deed, two versions are available — a mark-up version showing all proposed changes, and a clean version showing how the document will look if approved at the AGM.
