Reason for the SGM

The Government has said all iwi have to make changes to their fisheries trust by July 2026. At the same time we make the required changes, we want to add a new type of trust to our existing structures to make it easier to grow iwi funds and do more with them. We’re also making changes to update the TRAION Trust Deed and make it more inclusive.

Trustees put forward a resolution on these changes at the Annual General Meeting (AGM) on Saturday, 22nd November, 2025. Members voted 71% in favour, but 75% in favour is needed for the resolutions to pass.

We’ve taken on feedback and written a new set of resolutions, which members can vote on at the SGM. If you can’t attend the SGM, you will still be able to vote via a postal ballot which must be returned by 5PM Friday 20th March. You can also pop along to the selected Takiwā hui or scheduled information-sharing and voting hui to request a voting paper. That voting paper can be handed in at the same time or dropped off to the TRAION office in Ngawha Innovation Park.

TRAION Trust Deed changes

Two versions of the updated Te Rūnanga-Ā-Iwi-Ō Ngāpuhi (TRAION) Trust Deed are available for you to review.

  • The mark-up version shows all proposed changes compared with the current (2019) Trust Deed.
  • The clean version shows how the Trust Deed will look if the proposed changes are approved by Ngāpuhi members at the SGM.

TRAION Commercial Trust

A new TRAION Commercial Trust Deed has been drafted, based on the TRAION Trust Deed. The key differences reflect that:

  • The TRAION Commercial Trust is not a charity.
  • It will act as the Mandated Iwi Organisation.
  • It includes updates required by the Māori Fisheries Amendment Act.

As with the TRAION Trust Deed, two versions are available — a mark-up version showing all proposed changes, and a clean version showing how the document will look if approved at the SGM.

Where can I find out more information and/or vote?

To support informed decision-making, a series of information-sharing hui will be held both online and in-person prior to the SGM. TRAION will also be using the regular Takiwā hui to share information and offer voting. These hui will provide an opportunity to hear further detail, ask questions, and clarify any matters before voting. The online hui will not have voting capabilities.
